Terms of Service
1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding contract between you ("you", "Customer") and Palms Sky Conv, registered in Saint-Paul, Réunion (France) ("DocFlow", "we", "us") governing your use of the website palmskycov.xyz and the related applications and APIs (together, the "Service"). By creating an account, uploading a file, or otherwise using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Your account
You must be at least 16 years old (13 in the United States, with parental consent) to use the Service. You agree to provide accurate registration information, keep your credentials confidential, and notify us promptly at [email protected] if you suspect unauthorized access. You are responsible for all activity that occurs under your account.
3. The Service
DocFlow provides cloud tools to convert, edit, split, merge, sign, capture, and otherwise process documents and web pages. We may add, modify, or remove features at any time. We will give reasonable advance notice of changes that materially reduce the functionality you rely on.
4. Your content
You retain all rights, title, and interest in the files you upload ("Your Content"). You grant DocFlow a limited, world-wide, royalty-free license to host, copy, transmit, transcode, and display Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train machine-learning models, and we do not sell or share it for advertising.
You represent and warrant that you own Your Content or have all necessary rights and permissions to upload and process it through the Service, and that doing so does not violate any law, contract, or third-party right (including intellectual-property and privacy rights).
5. Acceptable use
You agree not to:
- Upload content that is illegal, infringing, defamatory, obscene, sexually explicit involving minors, or that promotes violence, terrorism, or hate speech;
- Upload malware, viruses, or attempt to circumvent security measures;
- Use the Service to send spam or unsolicited communications;
- Reverse-engineer, decompile, scrape, or attempt to derive the source code of the Service except where permitted by law;
- Use the Service in a way that exceeds reasonable usage and degrades performance for other users;
- Resell or sublicense the Service without our prior written consent.
See our full Acceptable Use Policy. We may suspend or terminate accounts that violate these rules.
6. Intellectual property
DocFlow and its licensors own all right, title, and interest in the Service, including the software, design, trademarks, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
7. Fees & billing
Some plans are free; paid plans are described on our Pricing page. By choosing a paid plan, you authorize DocFlow (and our payment processor) to charge the applicable fees, taxes, and any renewals to your selected payment method.
Fees are quoted in USD unless stated otherwise and are exclusive of taxes. Subscriptions auto-renew at the end of each billing cycle until you cancel. We reserve the right to change pricing on 30 days' notice; changes take effect at your next renewal.
8. Free trials, cancellation & refunds
If we offer a free trial, you may use the paid features at no charge during the trial period. After the trial, your subscription will start unless you cancel beforehand.
You can cancel any time from your dashboard. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not provide pro-rated refunds for partial periods, except where required by law (see our Refund Policy).
9. Warranty disclaimer
The Service is provided "as is" and "as available". To the maximum extent permitted by law, DocFlow disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing or trade usage. We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected.
10. Limitation of liability
To the maximum extent permitted by law, DocFlow shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.
DocFlow's aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to DocFlow in the twelve (12) months preceding the event giving rise to the liability, or (b) USD 100.
Some jurisdictions do not allow the exclusion or limitation of certain damages, in which case the above limitations apply only to the extent permitted by law.
11. Indemnity
You agree to indemnify and hold DocFlow harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service in breach of these Terms, or (c) your violation of any third-party right or law.
12. Term & termination
These Terms remain in effect while you use the Service. Either party may terminate at any time. We may suspend or terminate your access immediately if you breach these Terms or if required by law. On termination, your right to use the Service ends and we may delete your data after a reasonable retention period (see our Privacy Policy).
13. Governing law & dispute resolution
These Terms are governed by French law. The exclusive venue for any dispute is the competent courts of Saint-Denis (Réunion), France, subject to the mandatory rules of consumer law.
For EU/UK consumers: nothing in these Terms affects your statutory rights or your right to bring proceedings in the courts of your country of residence. Consumers may also use the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
14. Changes to these Terms
We may modify these Terms occasionally. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
